These Terms of Service (“Terms”) govern the use of all services, software, and websites operated by EBAIA (“we,” “us,” or “our”). By accessing or using our services, you agree to these Terms.

2.1. EBAIA provides AI appointment-setting and lead qualification services designed for small and medium-sized businesses.
2.2. The service automates communication, qualifies leads, and books appointments through artificial intelligence technology.
2.3. The AI may interact with clients or prospects through calls, messages, or other integrated systems.
2.4. EBAIA’s AI is designed for high accuracy, but automated responses and decision-making may not always be perfect.
3. Eligibility
3.1. You must be at least 18 years old and capable of entering into a binding agreement to use our services.
3.2. EBAIA’s services are available to UK and international business clients.
3.3. Personal, non-business use of the AI system is not permitted.
4. Payment Terms
4.1. Pricing Plans
a) Performance-Based Plan:
Fee ranges from 5% to 20% of revenue generated from each lead successfully closed.
The exact percentage will be determined based on the specifics of the engagement.
b) Monthly Subscription Plan:
Setup Fee: £600 one-time setup.
Monthly Retainer: £300 per month.
c) Yearly Subscription Plan:
Annual Fee: £5,000 per year, renewable annually.
4.2. Free Trial
A 14-day free trial is available for eligible new clients.
4.3. Billing Methods
Payments are accepted via GoHighLevel, Stripe, and PayPal.
4.4. Automatic Renewal
Monthly and yearly plans will automatically renew at the end of each term unless canceled by either party with at least 30 days’ notice.
4.5. Price Increases
In the event of a price increase, we will provide at least one month’s notice prior to the new pricing taking effect.
4.6. Refunds
Refunds are not guaranteed after payment, except as required by law.
5. User Responsibilities
5.1. You agree to use our services only for lawful business purposes.
5.2. You must not use EBAIA’s systems to send spam, harassment, or misleading communications.
5.3. You must ensure that all information you provide (including contacts, business details, and payment info) is accurate and up to date.
5.4. You may not copy, resell, or reverse-engineer any part of EBAIA’s software or AI models.
5.5. You are responsible for reviewing and verifying any AI-generated information or recommendations before using them.
6. Company Rights
6.1. EBAIA reserves the right to:
a) Modify, suspend, or terminate the service at any time,
b) Change pricing or features with prior notice, and
c) Suspend or terminate accounts for non-payment or misuse.
6.2. We may temporarily limit access for maintenance or updates.
7. Intellectual Property
7.1. All intellectual property rights in EBAIA’s website, software, and AI systems remain solely owned by EBAIA.
7.2. Clients retain ownership of their business data, customer information, and communications.
7.3. AI-generated outputs (messages, bookings, or responses) are considered service outputs, not licensed creative works.
7.4. You may not claim ownership of or redistribute EBAIA’s systems, models, or proprietary software.
8. Confidentiality
8.1. EBAIA agrees to keep all client information, business data, and communications strictly confidential.
8.2. Client information will not be disclosed to any third party unless:
a) Required by law, or
b) Necessary to perform the service (e.g., using hosting or communication providers).
8.3. Likewise, clients agree not to share or disclose any confidential information about EBAIA, its methods, systems, or communications without written consent.
8.4. Only Edward Barker (owner of EBAIA) has access to stored client data.
9. AI Responsibility and Limitations
9.1. While EBAIA’s AI is highly effective, no guarantees are made regarding the number of leads, bookings, or results generated.
9.2. The AI makes autonomous decisions based on programming and client inputs.
9.3. EBAIA and Edward Barker are not responsible or liable for any decisions made by the AI system or for any missed opportunities resulting from automation.
9.4. The service is provided “as is” and without warranty of any kind, express or implied.
10. Data Protection
10.1. EBAIA collects and processes user data in accordance with its Privacy Policy.
10.2. Data is used for service delivery, performance tracking, and customer support.
10.3. Clients may request deletion of their data by submitting a formal written request to the contact email above.
11. Termination
11.1. Clients may terminate their subscription at any time through their account or by contacting support.
11.2. Termination takes effect at the end of the current billing cycle unless stated otherwise.
11.3. EBAIA may terminate any account immediately if:
a) Payment fails or is disputed,
b) The user violates these Terms, or
c) The service is misused or abused.
12. Limitation of Liability
12.1. To the maximum extent permitted by law, EBAIA shall not be liable for:
a) Any indirect, incidental, or consequential damages,
b) Loss of profits, business, or data, or
c) Actions taken based on AI-generated output.
12.2. Total liability under these Terms shall not exceed the total amount paid by the client in the previous three (3) months.
13. Service Modifications
13.1. EBAIA may update or modify these Terms, service offerings, or pricing from time to time.
13.2. Continued use of the service after changes take effect constitutes acceptance of the new Terms.
14. Governing Law and Dispute Resolution
14.1. These Terms are governed by and interpreted in accordance with the laws of England and Wales.
14.2. Any disputes arising under or in connection with these Terms shall be resolved exclusively by the courts of the United Kingdom.
